CHRISTODORA GALA TERMS AND CONDITIONS

These Gala Terms and Conditions (the “Terms”) apply to your access to and use of the website
located at christodora.org (or any successor links) (or any successor link) and Gala registration
through OneCause (together, the “Services”) in connection with Christodora’s fundraising gala
(the “Gala”). These Terms additionally apply to your attendance at the Gala. Christodora, Inc. is
a New York not-for-profit corporation and 501(c)(3) charity (“Christodora,” “we,” “our,” or
“us”). By accessing the Services, purchasing tickets for the Gala (each, a “Ticket”) or otherwise
registering for the Gala, you agree to these Terms.
We may make changes to these Terms, and your continued use of our Services or attendance of
our Gala will confirm your acceptance of any changes we post. If you do not agree to the
amended Terms, you must immediately stop using our Services and not attend our Gala.
1 Eligibility
You must be at least 13 years old to use the Services. Individuals under 18 years of age (or the
age of legal majority where they live) may use the Services and attend the Gala only under the
supervision of a parent or legal guardian who agrees to be bound by these Terms. The parent or
legal guardian is responsible for the acts and omissions of the minor in connection with the
Services and the Gala.
2 Your Information
You may provide certain information to Christodora in connection with your access or use of
our Services or your attendance at our Gala, or we may otherwise collect certain information
about you when you access or use our Services or attend our Gala. You agree to receive emails,
SMS or text messages, and other types of communication from Christodora in connection with
the Services and Gala. You represent and warrant that any information that you provide to
Christodora is accurate. For information about how we collect, use, share and otherwise

3 Ticket Purchases
All Ticket sales are final; Christodora does not provide refunds or exchanges. Tickets may not be
resold, but if you cannot attend the Gala, you may request that Christodora transfer your Ticket
to another person by emailing [email address]. Payments are processed through OneCause, a
third-party platform, and prices exclude applicable taxes and fees, which will be shown during
checkout. Christodora is not responsible for OneCause’s availability or performance.
4 Text Messages

If you choose to provide a telephone number to Christodora during Gala registration or ticket
purchase through OneCause and enroll in Christodora’s text or SMS messaging programs, you
may receive SMS or text messages (“Text Messages”). Text Messages may include recurring
and nonrecurring messaging related to the Gala, including event updates, logistics, reminders,
and fundraising appeals during the event. Text Message frequency will vary, and Christodora
reserves the right to alter the frequency and total number of Text Messages at any time.
Christodora also reserves the right to change the phone number it uses for Text Messages.
Consent to receive automated text messages is not a condition of any purchase. Message and
data rates may apply.
Not all mobile devices or handsets may be supported and our messages may not be deliverable
in all areas. Christodora, our service providers, and the mobile carriers supported by the
Services are not liable for delayed or undelivered messages. We will not share information
gathered through text messages with third parties for their marketing purposes.
You may opt out of receiving Text Messages at any time by replying to a Text Message with the
keyword STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE. After texting STOP,
QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE to our short code, you will receive
one additional message confirming that your request has been processed. You acknowledge
that our text message platform may not recognize and respond to unsubscribe requests that do
not consist of the STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE keyword
commands.

5 Email Communications
By purchasing a ticket to or registering for the Gala, you agree to be added to Christodora’s
email mailing list for updates about Christodora’s programs, events, and fundraising initiatives.
You may opt out of marketing emails at any time by clicking “unsubscribe” in any email or by
contacting Christodora directly at [email address].
6 Prohibited Conduct
You agree to comply with all applicable laws in connection with your use of the Services and
your attendance at the Gala. You will also comply with any additional rules, policies, or
guidelines provided by Christodora or the Gala venue.
Enforcement of this Section 6 is solely at Christodora’s discretion, and failure to enforce this
section in some instances does not constitute a waiver of our right to enforce it in other
instances.

7 Indemnification
To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless
Christodora and our officers, directors, agents, partners, and employees (individually and
collectively, the “Christodora Parties”) from and against any losses, liabilities, claims, demands,
damages, expenses or costs arising out of or related to your use of the Services or your
attendance of the Gala. You will promptly notify Christodora Parties of any third-party claims,
cooperate with Christodora Parties in defending such claims, and pay all fees, costs, and
expenses associated with defending such claims (including attorneys’ fees). The Christodora
Parties will have control of the defense or settlement, at Christodora’s sole option, of any third-
party claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth
in a written agreement between you and Christodora or the other Christodora Parties.
8 Disclaimers
Your use of our Services and your attendance at our Gala is at your sole risk. Except as
otherwise provided in a writing by us and to the fullest extent permitted under applicable
law, our Services are provided “as is” and “as available,” and our Gala is provided “as is,” in
each case without warranties of any kind, either express or implied. Christodora disclaims all
warranties with respect to the foregoing, including implied warranties of merchantability,
fitness for a particular purpose, title, and non-infringement. You assume the entire risk as to
the quality and performance of the Services and the Gala. All disclaimers of any kind
(including in this section and elsewhere in these Terms) are made for the benefit of
Christodora, Christodora Parties, and Christodora’s respective agents, representatives,
licensors, suppliers, and service providers, as well as their respective successors and assigns.
9 Limitation of Liability
(a) To the fullest extent permitted by applicable law, Christodora and the other Christodora
Parties will not be liable to you under any theory of liability—whether based in contract,
tort, negligence, strict liability, warranty, or otherwise—for any indirect, consequential,
exemplary, incidental, punitive, or special damages or lost profits, even if Christodora or
the other Christodora Parties have been advised of the possibility of such damages.
(b) The total liability of Christodora and the other Christodora Parties for any claim arising
out of or relating to these Terms or our Services, regardless of the form of the action, is
limited to the greater of $100 or the amount paid by you for your Tickets.
The limitations set forth in this Section will not limit or exclude liability for the gross
negligence, fraud, or intentional misconduct of Christodora or the other Christodora Parties
or for any other matters in which liability cannot be excluded or limited under applicable law.

Additionally, some jurisdictions do not allow the exclusion or limitation of incidental or
consequential damages, so the above limitations or exclusions may not apply to you.
10 Governing Law and Jurisdiction
Any dispute, claim, or controversy that arises from or relates to these Terms will be governed
by and construed and enforced in accordance with the laws of the State of New York, without
regard to conflict of law rules or principles (whether of the State of New York or any other
jurisdiction) that would cause the application of the laws of any other jurisdiction. The state and
federal courts located in the County of New York, New York, will have exclusive jurisdiction over
any dispute arising out of or relating to these Terms or our Services and Gala. You and
Christodora waive any objection to venue in any such courts.
11 Miscellaneous
Christodora’s failure to exercise or enforce any right or provision of these Terms will not
operate as a waiver of such right or provision. These Terms reflect the entire agreement
between the parties relating to the subject matter hereof and supersede all prior agreements,
representations, statements, and understandings of the parties. The section titles in these
Terms are for convenience only and have no legal or contractual effect. Use of the word
“including” will be interpreted to mean “including without limitation.” Except as otherwise
provided herein, these Terms are intended solely for the benefit of the parties and are not
intended to confer third-party beneficiary rights upon any other person or entity.
